A separate transaction agreement controls if it conflicts with these Terms as to that transaction.

By accessing or using a covered website or service, you agree to these Terms.

If you do not agree, please do not use the applicable website or service.

These Terms do not govern purchases, payments, seller onboarding, fulfillment, cancellations, refunds, or chargebacks. Applicable purchaser, seller, and payment terms must be posted and accepted before transaction functionality becomes available.

Unless expressly stated otherwise, vendors and sellers are independent businesses and are responsible for their own:

• Products and services
• Pricing
• Inventory
• Product descriptions
• Licenses and regulatory compliance
• Taxes
• Shipping and fulfillment
• Customer service
• Warranties
• Returns and refunds

uKnighted does not guarantee the quality, safety, legality, accuracy, or suitability of products or services offered by independent vendors.

6. Intellectual Property

Unless otherwise indicated, website content, including text, graphics, logos, images, videos, designs, and software, is owned by or licensed to uKnighted and is protected by applicable intellectual property laws.

For claims arising solely from use of a free informational website, uKnighted’s aggregate liability will not exceed $100 or the amount you paid uKnighted for that use in the preceding 12 months, whichever is greater. This cap does not govern a separate paid service or marketplace transaction; applicable transaction terms control. Nothing in these Terms limits liability that cannot lawfully be excluded or limited, including liability for fraud or intentional misconduct.

12. Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless uKnighted and its affiliates, officers, employees, contractors, agents, and representatives against third-party claims, losses, liabilities, damages, and reasonable legal expenses to the extent arising from:

• Your misuse of a website
• Your violation of these Terms
• Your violation of applicable law
• Your infringement of another person’s rights

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-law principles, except where mandatory law provides otherwise.

Subject to any mandatory venue or consumer protection law, courts located in Travis County, Texas, will have exclusive jurisdiction over disputes arising from these Terms, and the parties consent to those courts.

Nothing in this section prevents either party from seeking relief in a court with mandatory jurisdiction.

Before initiating formal proceedings, the parties are encouraged to attempt in good faith to resolve disputes informally.

No arbitration agreement or class-action waiver is included in these Terms.

When changes are made, we will update the “Last Updated” date above.

Your continued use of a website after revised Terms become effective constitutes acceptance of those Terms, except where additional consent is required by law.

15. Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in effect.
